1. Acceptance of Terms
By accessing, registering for, or using any features, functions, or services provided by crit.homes (hereinafter referred to as the "Platform"), you explicitly acknowledge and irrevocably agree to be legally bound by these comprehensive Terms of Service (hereinafter referred to as "Terms"), including any future modifications, amendments, or updates thereof. These Terms constitute a legally binding agreement between you and CRT HOLDING GROUP LLC. If you find yourself in disagreement with any portion, section, clause, or provision contained within these Terms, whether in whole or in part, you must immediately cease all use of the Platform and its associated services. Your continued use of the Platform following any modifications to these Terms constitutes your acceptance of such changes. The Platform reserves the right to determine, at its sole discretion, whether any user's conduct violates these Terms.
2. Definitions
For purposes of clarity and comprehensive understanding, the following terms shall have the meanings explicitly defined below throughout these Terms:
- "Platform" encompasses the entire crit.homes website, including but not limited to its domain name, subdomains, mobile applications, APIs, databases, servers, software, user interfaces, and all related services, features, functions, data, updates, and content, whether existing now or developed in the future
- "User" refers to any individual, entity, or authorized representative thereof who accesses, browses, registers for, or utilizes any portion of the Platform, whether as a registered member or anonymous visitor, including but not limited to property viewers, reviewers, real estate professionals, and property owners
- "Review" encompasses any and all forms of user-generated content submitted to the Platform, including but not limited to written text, numerical ratings, scores, assessments, critiques, comments, geolocation data, timestamps, photographs, videos, audio recordings, and any other form of feedback or evaluation regarding a Property
- "Property" refers to any real estate listing, residential property, commercial property, land parcel, development project, or other real estate asset referenced, discussed, or reviewed on the Platform, whether currently listed for sale, previously listed, under contract, or sold
- "MLS Data" refers to any and all data, content, photographs, property information, pricing information, or other materials obtained from or through any Multiple Listing Service, including but not limited to property descriptions, listing prices, property features, square footage calculations, and historical listing information
3. Account Registration
To ensure the integrity and security of our Platform, users must adhere to the following comprehensive registration requirements:
3.1 Registration Requirements
All users seeking to create an account must:
- Provide accurate, current, and complete personal information, including but not limited to legal name, valid email address, telephone number, and physical address
- Create a unique username and secure password meeting our minimum security requirements, including at least 8 characters, one uppercase letter, one number, and one special character
- Verify their email address through our confirmation system within 48 hours of registration
- Provide accurate information about their real estate experience level and intended use of the Platform
- Be at least 18 years of age at the time of registration, with legal capacity to enter into binding agreements
3.2 Account Maintenance
- Users must promptly update any changes to their registration information, including contact details and payment information
- Users are responsible for maintaining the confidentiality of their login credentials and for all activities occurring under their account
- Users must notify us immediately of any unauthorized access or security breaches
- Multiple accounts for the same user are strictly prohibited unless explicitly authorized by the Platform
3.3 Account Verification
- The Platform reserves the right to implement additional verification procedures, including but not limited to phone verification, identity verification, or professional credential verification
- Users may be required to provide additional documentation to verify their identity or real estate experience
- The Platform may suspend or terminate accounts pending verification
4. Review Guidelines
4.1 Review Submission
By submitting a review to the Platform, Users hereby acknowledge, warrant, and irrevocably agree to the following comprehensive conditions:
- Explicitly confirm and attest that they have physically visited and personally inspected the Property in question prior to submitting any Review
- Covenant to provide truthful, accurate, and comprehensive information based solely on their direct, personal observations and experiences with the Property
- Expressly consent to and authorize the Platform's geolocation verification procedures, including but not limited to the collection and verification of GPS coordinates during the Review submission process
- Grant to the Platform a perpetual, worldwide, irrevocable, royalty-free license to display, modify, edit, translate, distribute, and otherwise utilize the Review content in any manner deemed appropriate by the Platform
4.2 Prohibited Review Content
Users are strictly prohibited from submitting Reviews containing any of the following categories of content, the presence of which may result in immediate Review removal and potential account termination:
- Any false, deceptive, or intentionally misleading information regarding the Property or related circumstances
- Content that exhibits discriminatory intent or bias, including but not limited to hate speech, racial prejudice, or any content that violates federal, state, or local anti-discrimination laws
- Personal attacks, defamatory statements, or unsubstantiated allegations directed at property owners, real estate agents, or other individuals associated with the Property
- Unauthorized disclosure of personal or confidential information pertaining to any individual or entity
- Commercial solicitations, promotional content, or any form of unsolicited advertising
- Content that contravenes applicable fair housing laws, regulations, or guidelines at any jurisdictional level
4.3 Platform Rights and Enforcement
The Platform maintains and reserves the following absolute and unilateral rights regarding Review content:
- The authority to remove, modify, or suppress any Review at any time, for any reason, without prior notification or explanation to the User
- The discretion to suspend or permanently terminate the account privileges of any User found to be in violation of these Review guidelines, whether through a single severe violation or multiple minor infractions
- The right to share Review data, user information, and related content with law enforcement authorities, regulatory bodies, or legal representatives when required by law or deemed necessary for the protection of legal interests
5. Verification and Accuracy Protocols
5.1 Geolocation Verification Requirements
To maintain the integrity and reliability of the Platform's Review system, the following geolocation verification protocols shall be strictly enforced:
- Users must explicitly enable and maintain active location services on their device throughout the Review submission process, thereby allowing the Platform to verify their physical presence at the Property location
- All collected location data shall be encrypted, stored, and protected in accordance with industry-standard security protocols and applicable data protection regulations
- Any attempt to circumvent, falsify, or manipulate location data shall constitute a material breach of these Terms and result in immediate account termination and potential legal action
5.2 Multiple Listing Service (MLS) Data Utilization
With respect to MLS Data displayed or utilized within the Platform, Users acknowledge and understand the following conditions:
- All MLS Data is provided "as is" and sourced from third-party providers, without any warranty or guarantee of accuracy, completeness, or reliability by the Platform
- The Platform cannot and does not guarantee that MLS Data reflects current market conditions, property status, or accurate property details, as such information may be subject to delays, errors, or omissions in third-party reporting
- Users bear sole responsibility for independently verifying all MLS Data through appropriate channels, including but not limited to direct consultation with real estate professionals, property owners, or official property records
6. Payment Terms and Financial Obligations
6.1 Payment Processing and Security
The Platform has established the following comprehensive payment processing protocols to ensure secure and efficient financial transactions:
- All financial transactions shall be processed exclusively through Stripe, Inc., a PCI-compliant payment processing service provider
- Users explicitly acknowledge and agree to be bound by Stripe's Terms of Service, Privacy Policy, and all other applicable agreements as may be updated from time to time
- All payment information, including but not limited to credit card numbers, bank account details, and other sensitive financial data, shall be stored, encrypted, and protected solely by Stripe in accordance with industry-standard security protocols
- The Platform does not store, maintain, or have direct access to Users' complete payment information
6.2 Fees, Charges, and Financial Obligations
Users hereby acknowledge and agree to the following terms regarding fees and charges:
- The Platform reserves the right to implement, modify, or adjust any fees or charges for its services upon providing Users with no less than thirty (30) days advance written notice through email or prominent platform notification
- All fees and charges paid to the Platform are non-refundable unless explicitly required by applicable law or specifically authorized by the Platform in writing
- Users shall be solely responsible for any and all applicable taxes, duties, levies, or governmental assessments imposed on their use of the Platform or its services, including but not limited to sales tax, value-added tax, or similar charges
- The Platform may, at its sole discretion, offer promotional rates, temporary discounts, or special pricing arrangements, the terms of which shall be specified in the applicable promotional materials
7. Intellectual Property Rights and Protections
7.1 Platform Content Ownership
The following provisions govern the ownership and usage rights of content within the Platform:
- All intellectual property rights, including but not limited to copyrights, trademarks, trade secrets, and patents, in the Platform and its original content, features, and functionality, shall remain exclusively with CRT HOLDING GROUP LLC and its licensors
- Users retain all ownership rights to their original Review content while granting the Platform an unlimited, perpetual, worldwide, royalty-free license to use, modify, display, distribute, and sublicense such content
- The Platform's name, logo, trade dress, and all related marks are protected trademarks of CRT HOLDING GROUP LLC, and their use without express written permission is strictly prohibited
7.2 Usage Restrictions and Prohibitions
Users are expressly prohibited from engaging in the following activities:
- Any automated data collection, scraping, crawling, or similar systematic retrieval of Platform content without explicit written authorization
- Unauthorized use, reproduction, or imitation of the Platform's trademarks, service marks, trade dress, or other distinctive brand features
- Copying, reproducing, modifying, creating derivative works from, or distributing any portion of the Platform's content, source code, or underlying technology
- Attempting to reverse engineer, decompile, or otherwise discover the source code or algorithmic foundations of the Platform
8. Privacy Protections and Data Management
8.1 Data Collection and Processing
The Platform collects and processes various categories of data in accordance with its Privacy Policy, including but not limited to:
- Personal account information, including name, email address, contact details, and authentication credentials
- Precise geolocation data collected during the Review submission process
- User-generated content, including Reviews, ratings, and associated metadata
- Technical usage data, including device information, IP addresses, and interaction metrics
- Analytics data regarding Platform usage patterns and user behavior
8.2 Data Sharing and Disclosure Protocols
The Platform may share collected data under the following strictly controlled circumstances:
- With property owners, managers, or their authorized representatives in connection with Review disputes or verification procedures
- With law enforcement authorities, regulatory bodies, or legal representatives in response to valid legal process or as required by applicable law
- With trusted service providers, contractors, and business partners who assist in Platform operations under strict confidentiality obligations
- In connection with a corporate transaction, such as a merger, acquisition, or sale of assets, subject to appropriate confidentiality protections
9. Disclaimers and Warranty Limitations
9.1 Platform Warranty Disclaimers
Users explicitly acknowledge and agree that the Platform and all associated services are provided strictly on an "as is" and "as available" basis, with the following comprehensive disclaimers:
- The Platform makes no representations or warranties regarding the accuracy, reliability, or completeness of any Review content, and Users acknowledge that such content reflects solely the opinions and experiences of individual Users
- No warranty or guarantee is made regarding the accuracy, currentness, or reliability of MLS Data or other third-party information displayed on the Platform
- The Platform does not warrant or guarantee uninterrupted, error-free, or secure access to its services, and Users acknowledge that temporary service interruptions may occur for maintenance, updates, or technical issues
- Any reliance placed by Users on Platform content, including Reviews, property information, or other data, is done solely at their own risk and discretion
9.2 Real Estate Transaction Disclaimers
Users expressly acknowledge and understand the following limitations regarding real estate matters:
- The Platform does not serve as a substitute for professional property inspection services, and Users should not rely solely on Platform content when making real estate purchase, rental, or investment decisions
- The Platform assumes no responsibility or liability for the actual condition, safety, or suitability of any Property referenced or reviewed on the Platform
- Users bear sole responsibility for conducting appropriate due diligence, obtaining professional inspections, and verifying all relevant property information through official channels prior to entering into any real estate transaction
- The Platform does not guarantee or warrant that any Property will meet User expectations, requirements, or intended uses
10. Limitation of Liability
10.1 General Liability Limitations
To the maximum extent permitted by applicable law, CRT HOLDING GROUP LLC and its officers, directors, employees, agents, and affiliates shall not be liable for:
- Any direct, indirect, incidental, special, consequential, or exemplary damages arising from the use or inability to use the Platform or its services
- Any losses, damages, or injuries resulting from reliance on Review content, property information, or other Platform-provided data
- Any damages or losses related to real estate transactions, property conditions, or investment decisions made in connection with Platform content
- Any damages resulting from technical issues, service interruptions, data loss, or security breaches
- Any claims, damages, or losses arising from User interactions with third parties encountered through the Platform
10.2 Monetary Liability Limitations
In jurisdictions where limitations of liability are permitted by law:
- The Platform's total aggregate liability for any and all claims arising under these Terms shall not exceed the greater of: (a) the total amount paid by the User to the Platform in the twelve (12) months preceding the incident giving rise to the claim, or (b) one hundred United States dollars ($100.00)
- Users hereby acknowledge that this limitation of liability represents a reasonable allocation of risk and is a fundamental element of the basis of the bargain between the User and the Platform
- The limitations set forth in this section shall apply regardless of whether a party has been advised of the possibility of such damages or the failure of essential purpose of any limited remedy
11. Indemnification Obligations
Users hereby agree to defend, indemnify, and hold harmless CRT HOLDING GROUP LLC, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Any Review content or other materials submitted, posted, or transmitted through the Platform by the User
- Any violation of these Terms, including but not limited to unauthorized use of the Platform or infringement of intellectual property rights
- Any breach of representations, warranties, or covenants made by the User under these Terms
- Any fraudulent, negligent, or willful misconduct by the User in connection with the Platform
- Any interaction or transaction between the User and any third party in connection with the Platform
12. Dispute Resolution
12.1 Resolution Process
Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be resolved in accordance with the following progressive dispute resolution procedure:
- The parties shall first attempt to resolve any dispute through good faith negotiations, which shall be a condition precedent to either party initiating formal legal proceedings
- If informal negotiations fail to resolve the dispute within thirty (30) days, any remaining controversy shall be resolved by binding arbitration administered by the American Arbitration Association
- The arbitration proceedings shall be conducted in Sheridan, Wyoming, unless otherwise agreed to in writing by all parties
- The substantive laws of the State of Wyoming shall govern all proceedings, without regard to Wyoming's conflict of laws principles
12.2 Class Action Waiver
By agreeing to these Terms, Users expressly acknowledge and agree to the following conditions regarding dispute resolution:
- Users hereby irrevocably waive any right to participate in class actions, class-wide arbitration, private attorney general actions, or any other proceeding in which any party acts or proposes to act in a representative capacity
- Any dispute resolution proceedings will be conducted solely on an individual basis
- Users explicitly acknowledge that they are knowingly and voluntarily waiving any right to participate as a plaintiff or class member in any purported class action lawsuit, class-wide arbitration, or any other representative proceeding
13. Changes to Terms
13.1 Modifications
The Platform reserves the right to modify, amend, or update these Terms at its sole discretion, subject to the following conditions:
- Material changes to these Terms shall be communicated to Users with no less than thirty (30) days advance notice through email notification or prominent display on the Platform
- Non-material modifications may take effect immediately upon posting of the updated Terms on the Platform
- Users' continued access to or use of the Platform following any modification of these Terms constitutes their binding acceptance of such changes
- Users who do not agree to any modifications must immediately cease all use of the Platform and terminate their account
14. Termination
14.1 Termination Rights
The Platform maintains the following rights regarding service termination:
- The Platform may, at its sole discretion, immediately terminate or suspend any User's access to the Platform for any violation or breach of these Terms, including but not limited to the submission of false Reviews or manipulation of location data
- The Platform reserves the right to terminate or suspend service to any User at any time, for any or no reason, without prior notice or explanation
- No refund or credit shall be provided for any prepaid fees or charges in the event of account termination, unless explicitly required by applicable law
14.2 Effect of Termination
Upon termination of a User's account or access to the Platform:
- All Reviews and content previously submitted by the User shall remain on the Platform, subject to the perpetual license granted herein
- The User shall immediately lose all access to their account, including any saved information, preferences, or stored content
- All provisions of these Terms which by their nature should survive termination shall remain in full force and effect, including but not limited to intellectual property rights, warranty disclaimers, indemnification obligations, and limitations of liability

16. Severability
In the event that any provision of these Terms is determined to be unlawful, void, or unenforceable:
- Such provision shall be deemed severable from these Terms and shall be enforced to the maximum extent permissible under applicable law
- The remaining provisions of these Terms shall continue in full force and effect
- Any such provision shall be replaced with a valid and enforceable provision that most closely approximates the intent and economic effect of the original provision
17. Complete Agreement
These Terms, together with the Privacy Policy and any other legal notices or agreements published by CRT HOLDING GROUP LLC through the Platform, constitute the entire and exclusive understanding and agreement between CRT HOLDING GROUP LLC and Users regarding the Platform, and supersede and replace any and all prior oral or written understandings or agreements between CRT HOLDING GROUP LLC and Users regarding the Platform and its services.
